AXA has announced that Clotilde Delbos will replace Irene Dorner on its board of directors, with immediate effect.
The board confirmed Irene Dorner’s resignation from the board as she “wishes to devote more time” to her role as chairwoman of Taylor Wimpey Plc, which she assumed in February 2020.
Following the recommendation of its Compensation and Governance Committee, the board has decided to appoint Delbos to the board with immediate effect for the remainder of Dorner’s mandate, or until the shareholders’ meeting called to approve the financial statements of the 2023 fiscal year.
Ratification of her cooptation will be proposed at AXA’s next shareholders’ meeting, the insurer confirmed
Delbos’ candidacy was selected by the board mainly due to her executive officer profile and her “strong” financial expertise. She is currently deputy CEO and CFO of the Renault Group, which she joined in 2012 and where she served as interim CEO from October 2019 to July 2020.
She is also appointed member of the audit committee, the chairmanship of which has been entrusted by the board of directors, following the recommendation of its Compensation and Governance Committee, to Isabel Hudson.
Denis Duverne, chairman of the board of directors of AXA, said: “On behalf of AXA’s Board of Directors, I would like to address our warmest thanks to Irene Dorner for her contribution to the work of the Board of Directors and its Audit Committee over the past five years.
“Her financial sector expertise has been a key element of AXA’s development over the last few years. I would also like to warmly welcome Clotilde Delbos to our board.”
